Terms of Service — Dangumi (AI-DANA)

Reference translation. These Terms of Service are written in Japanese and the Japanese text governs. This English version is provided for orientation only; where it differs from the Japanese text, the Japanese text prevails. Enacted 5 September 2026. Operator: Shinpei Nagatori (trade name: Aidana Project).

Article 1 (Purpose and scope)

These Terms set the conditions for using the service “Dangumi” provided on the website AI-DANA (ai-dana.net). The operator’s name, address and contact details are on the Operator Information page.

Everyone who uses the service (“users”) agrees to these Terms. Guidelines, plan descriptions and individual notices published on the service form part of these Terms.

Article 2 (Definitions)

Client member: a company, shop, condominium association or other organisation (corporation, sole proprietor or association; an association registers in the name of its representative or chairperson, who agrees to these Terms) that registers tasks or cases to commission outside specialists.

Specialist member: an outside specialist who proposes to and provides services for client members (AI agent developers — including AI agent engineers, AI automation engineers, prompt engineers, context engineers, AI enablement staff, AI adoption leads, forward-deployed engineers, AX and DX promotion staff, automation/RPA engineers, in-house IT staff and AI engineers —, AI consultants, AI video and AI music creators, influencers, media contributors, shop-system developers, shop interior designers, trainers, licensed professionals such as tax accountants, labour consultants and condominium managers, and designers, developers and business-improvement specialists), being a corporation or sole proprietor providing services as a business. Consumers are not specialist members.

Individual member: an individual aged 18 or over who registers as a consumer for a non-business request. Provisions on client members apply to individual members unless stated otherwise.

Premium member: a specialist member on a paid plan. Case: a task, consultation or request registered on the service; every case is placed in steps. First-stage information: the published summary of a case, excluding information identifying the client. Detailed information: information the client discloses per case to approved specialists. Right of first negotiation: the position of a specialist selected for a step to negotiate the individual contract first. Individual contract: the service contract concluded between client and specialist outside the service. Dangumi: the method of dividing a case into steps, each with a defined deliverable and price; the simplest case has two steps.

Article 3 (Nature of the service)

The service provides a place and records for clients and specialists to proceed through a case step by step.

The operator is not a party to individual contracts and is not responsible for their conclusion, performance, payment or the quality of deliverables. The operator does not guarantee the identity, ability or creditworthiness of members.

Article 4 (Registration)

Registration is completed when the operator approves it. Registration is free for client and specialist members. Users keep their information accurate and current.

The operator may refuse or cancel registration for false information, for a prospective specialist who is not a corporation or sole proprietor, for prior cancellation due to a breach, for ties to anti-social forces, or where the operator otherwise finds it inappropriate.

Individual members may not place cases on the public shelf; they may only commission specialists through the private “bring-in” route. Specialists choose in their profile whether to accept requests from individuals.

Article 5 (Registering a case; two-stage disclosure)

When registering a case the client provides the required information and defines the steps (deliverable, price or “quote fixed on completion of the previous step”, and order).

The operator generates first-stage information from the registered text, using AI or other means, and publishes it after the client’s confirmation. The client may review and correct it and is responsible for its content.

Detailed information is visible only to premium members whose per-case access request the client approves. The client may refuse without giving reasons and defines what is disclosed. The operator does not disclose the original text without the client’s approval and makes reasonable efforts, without guarantee, to prevent identification from first-stage information.

Article 6 (Exploration (step 1))

Step 1 is placed in Exploration. Exchanges in step 1 are free of charge; neither party may claim payment.

Rights in a specialist’s step-1 proposal belong to the specialist. The client may not implement it or pass it to a third party without the specialist’s consent.

When the client decides to proceed to step 2 and a counterparty is set, the case moves to Dangumi (step 2 onwards). No contract beyond these Terms is required in step 1; disclosure under Article 5 creates the confidentiality duty of Article 14. For information beyond the service (internal documents, system access, site visits) the parties may conclude a separate NDA, for which the operator provides a template.

Article 7 (Dangumi (step 2 onwards))

Services from step 2 are paid, on the terms of a per-step individual contract (except as provided in Article 9 for free steps in brought-in cases).

For each step the client chooses one method: nomination (negotiating with a chosen specialist, including the specialist of the previous step), competition (inviting proposals and selecting by content), or bidding (selecting from bids against stated conditions).

At the end of each step the client chooses to continue or stop; stopping creates no obligation for later steps on either side. Deliverables of paid steps belong to the client as the individual contract provides; ideas in unpaid steps belong to the specialist.

Article 8 (Nomination and right of first negotiation)

A specialist selected for a step is nominated and obtains the right of first negotiation for that step. It does not guarantee a contract; it is the position to negotiate first. It lasts for the period the operator sets (initially 14 days), extendable by agreement; if no contract is concluded in time, it lapses and the client may nominate another specialist.

Article 9 (Progress of steps)

Every case is placed in steps with a deliverable, price (fixed or quote-on-completion) and order per step; the structure may be changed by agreement during the case. Step 1 is free; later steps are paid, except that in brought-in (private) cases the parties may agree to make later steps free (friends-and-acquaintances cases). Records of deliverables, approval and track record are kept for free steps as for paid ones.

At the end of each step the client chooses to continue or stop. Deliverables of paid steps belong to the client per the individual contract; ideas of unpaid steps remain the specialist’s, and the client may not implement or pass them on without consent.

For step 1 only, a client may nominate up to three specialists for the same step (comparison). The client chooses one; the other specialists’ step-1 work is returned, their ideas remain theirs, and if step 1 is paid the client pays all of them.

When the parties agree that a step is “recurring”, each approval creates the next step with the same content and price, accepted by the specialist; it ends at the agreed count or when either party chooses not to place the next step, with no obligation for steps not placed.

Either party may record that a step ended due to the other party’s circumstances. The reason is visible only to the operator; other members see counts only. Conflicting claims are recorded as “in dispute” and the operator may confirm the record after reviewing both reasons. The operator takes no responsibility for this record, and members may not publicly denounce the other party on the basis of it.

Article 9-2 (Steps with individual members)

Individual members may only use the bring-in route. For a paid step to an individual, the specialist must first register the disclosure required by the Act on Specified Commercial Transactions (name, address, telephone, payment terms, timing of service, cancellation), which is shown to the individual before ordering; without it, no paid step can be ordered.

Individual contracts with individuals use a consumer template consistent with the Consumer Contract Act; clauses fully excluding the specialist’s liability, or otherwise void under that Act, have no effect. An individual may cancel a paid step free of charge before the specialist starts work; cancellation after that is as the individual contract provides.

The operator is not a party to these contracts and does not prevent consultation with consumer affairs centres.

Article 9-3 (How deliverables are handed over)

Specialists may deliver by attaching files to the service’s protected storage or by sharing a link to external storage (Box, Google Drive, Dropbox etc.).

For external links, sharing must be restricted to specific people or password-protected (never “anyone with the link”); the file name, size and SHA-256 hash are recorded on the service, and the link and file are kept for one year after approval. The client saves the file before approving; approval is deemed given for the file matching the recorded hash.

Management of external storage is the specialist’s responsibility, including liability for leaks caused by mis-configuration. The operator does not guarantee linked content. Files in protected storage are accessible only to the parties and the operator, and are fixed at the time of approval.

Article 10 (Individual contracts and ownership of deliverables)

Individual contracts are concluded outside the service. When client and specialist first proceed to step 2 they conclude a basic contract and thereafter a per-step contract; the operator provides templates for reference only, and the parties are responsible for reviewing and adopting them. When a contract is concluded, the step is marked “ordered” on the service.

For free steps from step 2 onwards, copyright and other rights remain with the specialist and the client is granted free use within its business; modification, secondary use and transfer to third parties depend on the scope defined in the step.

Article 11 (Records of results)

Results of each step may be recorded on the service by agreement and may be shown by the specialist as track record; disclosure of the client’s name or details requires the client’s consent.

Article 12 (Fees)

Use is free for client members. For specialists, viewing first-stage information and proposing in step 1 are free; requesting detailed information, proposing or bidding from step 2 and being nominated require premium membership (free during the beta). The operator takes no commission on payments under individual contracts. Premium plan fees and terms are set separately on the service.

Article 13 (Referral programme; bring-in)

The operator may run a referral programme paying a reward when a third party registers through a specialist’s referral URL, on terms set on the service.

A specialist may bring an existing client into the service as a private case (“bring-in”); such cases are not published on the shelf.

Article 14 (Confidentiality)

A specialist may use detailed information only for proposing, bidding and performing the case, and may not disclose it; this duty arises under these Terms even without a separate NDA and survives termination of registration. The client may not use a specialist’s proposals contrary to Articles 6 and 7.

Article 15 (Prohibited conduct)

Users may not: attempt to identify a client from first-stage information or contact them outside the service; use the service to advertise products or services rather than to commission or provide work; register false information; infringe others’ rights; disrupt the service; or otherwise act in ways the operator finds inappropriate.

Article 15-2 (Influencer cases)

Posts must carry a “PR”, “advertisement” or similar disclosure; clients may not ask to remove it. Copyright in posts remains with the influencer; the client’s secondary use (period, media, modification) is defined as a step deliverable. Influencers comply with the Act against Unjustifiable Premiums and Misleading Representations.

Article 15-3 (AI-generated deliverables)

Specialists confirm that the generative AI service used permits commercial use and disclose the service on request; do not use or imitate real persons’ likeness or voice, specific artists’ voices or works, trademarks or third-party works; inform the client that AI was used; and define rights (granting a licence where the AI service’s terms prevent transfer). For music, the intended use and need for collecting-society registration are confirmed in step 1.

Article 15-4 (Media appearance and material supply)

The scope of appearance or supply (media, period, territory, secondary use, credit) is defined as a step deliverable; rights in supplied material remain with the specialist unless agreed otherwise; likeness use, editing and pre-publication review are defined in the step; the specialist may demand correction of factual errors.

Article 15-5 (Shop systems, interior design and training)

Shop-system cases define the operating environment, data ownership and migration, rights in code, settings and accounts, maintenance scope and monthly fees; generic components remain the specialist’s with a licence to the client. Interior cases define site visits, drawings, legal checks, whether construction is included and reuse of designs. Training cases define participants, format, rights in materials, recording and evaluation; materials remain the trainer’s unless agreed otherwise.

Article 15-6 (AI agent development)

The permissions granted to an agent (read only, drafting and recording, sending, ordering or paying), the points where a human confirms, how to stop it, how actions are logged, the AI service used and who bears its cost, and the scope of liability for wrong actions are defined as step deliverables. Permissions for irreversible actions are limited to what the client expressly grants in a step. Credentials are managed by the client and not retained by the specialist after the step. Action logs are kept in a form the client can retain. The operator is not responsible for an agent’s actions.

Article 16 (Measures on breach)

The operator may, without notice, hide cases, cancel proposals or nominations, or suspend or cancel membership, and is not liable for resulting loss. Users in breach of Article 15 compensate the operator and injured users.

Article 17 (Intellectual property)

Rights in the service belong to the operator or the rightful owners; the names and mechanisms of Dangumi, Exploration, Nomination and AI-DANA were devised by the operator. Rights in users’ cases, proposals and bids belong to those users; the operator may use them free of charge to run, improve and promote the service (including generating first-stage information, statistics and anonymised examples).

Article 18 (Personal information)

Handled under the operator’s privacy policy.

Article 18-2 (Access to information by the operator)

The operator may view case contents, messages and records only to operate the service, respond to inquiries, verify breaches, back up data and comply with law, and does not use them for other purposes. Private cases, including those of individual members, are viewed only within this scope.

Article 19 (Disclaimer)

The operator does not warrant the accuracy, completeness, usefulness or fitness of the service, users’ content or AI-generated first-stage information, and is not liable for loss arising from the service, from disputes between users, or from suspension or termination of the service, except where caused by the operator’s wilful misconduct or gross negligence.

Article 20 (Governing law and jurisdiction)

These Terms are governed by Japanese law. The Tokyo District Court has exclusive jurisdiction in the first instance over disputes concerning the service; for individual members this does not exclude courts competent at their place of residence.

Supplementary provision (beta period)

From 24 September 2026 the service operates as a beta. All specialist features are free during the beta; charging will be announced at least one month in advance; registered cases and records are not deleted by feature changes during the beta.
